Engagement Agreement

This Agreement will confirm the terms on which you have retained this office, Tra Law Group PC, (hereinafter, the “Firm”, “we”, or “our”) to act as counsel for you (hereinafter, “Client”, “you”, or “your”) and will be effective as of the date signing and payment of the Flat Fee (defined hereunder) by you.

1. Scope of Services

The legal services to be provided by the Firm to you are: (i) the completion of a USPTO trademark knockout search; (ii) consultation time of up to 30 minutes regarding the search results; (iii) preparation and filing of your trademark application; (iv) tracking the progress of your trademark application once filed, and (v) responding to any non-substantive Office Actions from the USPTO. Non-substantive Office Actions include: (i) insufficient identification of goods and services; (ii) need for disclaimers; and (iii) improper specimens. If any substantive Office Actions response is required, then the Firm will require a separate retainer deposit to be drawn against hourly. Substantive Office Actions include: (i) likelihood of confusion refusals and (ii) merely descriptive refusals. Legal services in any matter not described above and for any representations in a proceeding before the Trademark Trial and Appeal Board will also require a separate retainer.

2. Fee Arrangement

The Firm will charge you a flat fee for the legal services we provide above. The total fee for this engagement will be $1,300.00. (the “Flat Fee”). You will be responsible for all associated third-party costs related to the trademark registration, including government filing fees.

3. Electronic Forms of Communication

We may communicate by email with you, including sending you documents and information as attachments to email messages. Although we will take what we believe to be reasonable precautions, we are mindful that the internet is not a completely secure medium. If you prefer that we not communicate with you by way of email, please let us know. If you do not advise us, we will assume you authorize us to use email to communicate with you.

4. Conflicts of Interest

You understand that we represent other parties (or may have certain ownership or participation interests in related business ventures), and that conflicts of interest may arise between you and other clients of the Firm. If we are aware of any conflict, we will promptly advise you of the existence of the conflict, and we will try to assist in resolving the conflict. If the conflict cannot be overcome, it may be necessary for us to withdraw from representing you with respect to the matter as to which the conflict exists, in which case you may have to engage separate counsel.

5. Termination

We have the right to terminate this Agreement and withdraw from representation, and you agree to execute such documents to permit such withdrawal, if necessary, for any reason consistent with the applicable ethical rules, including unanticipated conflicts of interest, delinquency or nonpayment of legal fees and expenses incurred on your behalf, your failure to cooperate with us at all times during the course of our representation, or your failure to disclose material facts. You may terminate this Agreement at any time, for any reason. If either of us terminates this Agreement, you agree to pay any undisputed fees and charges due through the date of termination and any services or costs incurred, including copying charges of any files, in connection with the transition to your successor counsel. Termination will be effected by serving, and the other party receiving, written notice of termination. Without terminating this Agreement, you may, at any time, instruct us to stop acting on your behalf in any matter, and we will do so immediately on receipt of that instruction in writing.

6. Resolving Disputes

Any dispute between the Firm and you regarding the construction, application or performance of any services under this Agreement, and any claim arising out of or relating to this Agreement or its breach, including, without limitation, claims for breach of contract, professional negligence, breach of fiduciary duty, misrepresentation, fraud and disputes regarding attorney fees and/or costs charged under this Agreement shall be submitted to binding arbitration upon the written request of one party after the service of that request on the other party. The parties shall appoint one person to hear and determine the dispute. If the parties cannot agree, then the Superior Court of Los Angeles will choose an impartial arbitrator whose decision shall be final and conclusive on all parties. The parties will each have the right of discovery in connection with any arbitration proceeding in accordance with Code of Civil Procedure Section 1283.05. The cost of the arbitration, excluding legal fees and costs, will be borne by the losing party or in such proportion as the arbitrator shall decide. The sole and exclusive venue for the arbitration and or any legal dispute shall be Los Angeles, California.

7. No Guarantee of Particular Outcome or Results

We want to provide you with excellent service and will strive at all times to represent you to the best of our ability. However, you understand and agree that we cannot, and do not, promise or guarantee a particular outcome or result with respect to any matter in which we provide legal services.

8. Client’s Duties

You agree to be truthful to us, to cooperate and keep us fully informed of developments, to abide by this Agreement, and to pay our bills promptly.

9. File Retention/Destruction Policy

You are entitled, upon written request, to any files in our possession relating to the legal services performed by us for you, excluding internal accounting records or other documents not reasonably necessary to your representation, subject to our right to make copies. You agree that upon the conclusion of the Scope of Services, we will not be required to retain or store any pleadings or publicly filed or recorded documents, if those documents are otherwise retained or stored in any court or other publicly accessible file archive. As to all other files in our possession upon the conclusion of the Scope of Services, we may elect to notify you, at your last known address, of our intention to destroy or discard your files unless contrary written instructions are received. You may, upon receipt of such notice, advise us of your intention to retrieve the files, or you may direct us to forward the files to you, at your expense. If you fail to respond within 30 days from the date the notice is mailed, and if we have no reason to believe that the files to be destroyed or discarded include things that would be required by law to be maintained or things that would be reasonably necessary to establish a claim or defense, we may destroy or discard the files.

10. Miscellaneous Provisions

This Agreement represents the entire agreement between the parties and supersedes all prior agreements between the parties with respect to the subject matter of this Agreement. This Agreement will be binding on and inure to the benefit of the parties and their respective successors, assigns, heirs, and personal representatives. Whenever possible, each provision of this Agreement and each related document will be interpreted in such manner as to be valid under applicable law. However, if any provision of this Agreement or any related document is invalid under applicable law, that provision will be ineffective, without invalidating the remaining provisions of this Agreement or related documents. This Agreement may not be modified or rescinded, in whole or in part, except in writing, signed by the parties to this Agreement. This Agreement will be governed in all respects by the law of the State of California. Any action or proceeding must be brought in Los Angeles County. This Agreement may be executed by the parties in electronic counterparts.
